ND regulators approve wind farm, natural gas plant

BISMARCK, N.D. (AP) ? State regulators on Wednesday approved construction of a wind energy project and a natural gas processing plant in western North Dakota that will represent about $360 million worth of new construction.

A subsidiary of Oneok Inc., an energy company based in Tulsa, Okla., intends to build a factory capable of processing about 100 million cubic feet of natural gas daily, the state Public Service Commission said.

Oneok already operates two natural gas processing factories in northwestern North Dakota, and has two more already under construction. The fifth, called Garden Creek II, will be located about six miles northeast of Watford City, in McKenzie County.

The commission approved the plant's siting application Wednesday, clearing the way for construction to start. An Oneok spokeswoman said the company hopes to finish the project by the fall of 2014.

North Dakota's mushrooming oil production has led to a concurrent increase in the state's output of natural gas, which is an oil byproduct. About a third of the state's natural gas production is now burned off and wasted, because the pipeline network needed to transport the fuel to processing plants is not fully developed.

"We like to see that gas being gathered and processed and moved to market. It's a much better destination than flaring it," Public Service Commissioner Kevin Cramer said. "When you live in a cold-weather state, watching 30 percent of (natural gas) being flared is hard to take."

The Garden Creek II factory will be able to process enough natural gas each day to heat about 900 homes for a year. It will be able to process roughly one-seventh of North Dakota's current daily natural gas output, which was an average of almost 713,000 "thousand cubic feet," or MCF, in June.

Separately, the commission endorsed a construction permit for Allete Clean Energy, a unit of Allete Inc. of Duluth, Minn., to build a 100-megawatt wind farm in Mercer and Morton counties, north of Glen Ullin.

Cramer and Brian Kalk, the commission's chairman, said Allete has not yet decided how many wind towers it will build, or on the size of the turbines it will use to generate the power. The company will have to provide that information before construction may start, they said.

Allete has already finished an 82-megawatt wind farm, called Bison I, in Oliver and Morton counties, and has two other projects under construction. The wind farm approved Wednesday will be capable of supplying power to about 40,000 homes.

North Dakota wind energy projects have the capacity to generate almost 1,500 megawatts of power, Public Service Commission filings say. Wind farms capable of generating more than 7,600 megawatts have been proposed.

Most shy people share the same number one fear. Heights? Big deal.Spiders? Whatever. Clowns? Give me a break. But plop any of us down in front of a room full of people and tell us to speak? That?s terrifying.

I?ve never been good in front of people. It?s not that I don?t like attention; I do write on the internet, after all. What I don?t like is people looking at me or listening to me. Many terrible attempts at small talk have reassured me that I?m awkward enough one-one-one, but if I have to deliver a speech, I blush, stammer and shake. While some lucky people are blessed with naturally booming voices, my own voice is small and thin. The inevitable shouts of ?Speak up!? that happen whenever I talk only make me more embarrassed and uncomfortable.

Tempting as it might sound, it?s impossible for most of us to avoid public speaking entirely, unless we go full-on Howard Hughes and retreat into our homes. Whether it?s a meeting at work or a presentation at school, at some point all of us will have to get our sweaty, nervous selves up in front of a group of people and talk. A few weeks ago, I had to deliver a maid-of-honor toast to about 150 wedding goers, a prospect that had me shaking in my glittery heels. Since that fateful phone call when my best friend announced her engagement and asked me to be her maid of honor, I?d been planning for (and worrying about) my speech. I consider myself the introvert of all introverts, so if I can get though a speech and live to tell the tale, so can you. Here are some of the most important things to keep in mind the next time you have to have to do a little public speaking:

1. Prepare.?Improv is great, but this isn?t UCB. There are people who can make up a speech as they go along, but if you?re reading this article looking for tips, you definitely aren?t one of them. Before my toast, I felt like I was going to straight up vomit all over my bridesmaid dress. Instead of focusing on getting rid of your anxiety, just take deep breaths and accept it.

3. Realize that everyone wants you to succeed.?Unless you?re in front of a room full of psychopaths, everybody is on your side. The audience isn?t the enemy; they?re your support. Think about the last time you watched a speech or presentation. Were you waiting for the speaker to mess up, misspeak, or stutter? Of course not! Everyone else wants this to go as smoothly as you do.

4. Remember what you?re trying to do.?Ultimately, your speech isn?t about you; it?s about getting specific information across to your audience. Maybe for you this involves telling a client about the work you?ve been doing, or describing a project to your class. In my case, I wanted to let everyone know how much I love the bride, and what a great couple she and her new groom are. When I focused on them, it took the pressure off me.

A few other small tips to remember: Use props if you can?they take the focus off of you, and give you something to do with your shaky hands! Do a quick mirror check?the last thing you want to worry about is if your mascara is smudged or whether you spilled something on the front of your dress. Go over the speech with someone else beforehand?they can let you know what parts seem awkward. The most important thing to remember, though, is that it will all be over soon. Even if you do mess something up, most people won?t notice or care. In retrospect, it was totally silly for me to waste so much time and energy worrying about a speech that took all of a minute and a half. It went over fine and I didn?t do anything embarrassing enough to end up on a viral video with a title like, ?Worst Maid of Honor Toast Ever!? Obsessing over every human interaction is just another one of the fun things about being shy, but simple preparation and some self-awareness can help you get through a speech without hyperventilating. Sure, you might not ever be a performer or an extrovert, but you are someone who can face a crowd and get your message across.

While it did not rise to Armstrong's "one small step for man, one giant leap for mankind," interest was so high in the rover Curiosity's "seven minutes of terror" approach to the red planet earlier this month that NASA's website crashed. The rover last week beamed home photographs of its first wheel tracks on the Martian soil since its daredevil landing

"There's something exciting about reaching another place in the solar system. If you think about the kind of interest the landing of Curiosity had, you get a sense of that," said Smithsonian Institution space curator Roger Launius. It wasn't on the same level as Armstrong's feat, "but it was pretty darn exciting," he said.

When Armstrong, and then fellow astronaut Buzz Aldrin, stepped on the moon on July 29, 1969, an estimated 600 million people watched and listened. "Virtually the entire world took that memorable journey with us," recalled Aldrin after Armstrong's death on Saturday.

Early in the Space Age, the Mercury, Gemini and Apollo astronauts were the public face of NASA's space endeavor while the unmanned lunar missions that paved the way were in the shadows. The public craved adventure and the manned missions delivered. Aiming for the moon was new and exciting ? not to mention dangerous ? and the U.S. was locked in a Cold War space race with the Soviets.

Next, the space shuttle ferried a new crop of astronauts to low-Earth orbit, but after three decades of service, it became routine. And the Cold War thawed with the Russians and Americans cooperating on the Russian space station Mir and the International Space Station.

With the space shuttle fleet retired, the space station is all that's left. Its crew of six for the most part quietly goes about doing its job about 250 miles (400 kilometers) above the Earth. President Barack Obama nixed plans for returning astronauts to the moon in favor of landing on an asteroid and eventually?Mars.

These days, space exploration is carried out by robotic spacecraft ? commanded by human handlers on Earth. Advances in technology have allowed unmanned spacecraft to go farther and peer deeper, with craft circling Mercury, Saturn, and asteroid Vesta, and others headed for Jupiter and dwarf planet Pluto. The twin Voyager craft are still going strong at the fringes of the solar system 35 years after their launch in 1977.

American University space policy analyst Howard McCurdy said today's generation of explorers was raised on technology and tends to get more jazzed about delivering a car-size rover to?Mars.

"Robotic exploration has taken more of a center stage," he said. "It gets more publicity now than the International Space Station."

When the first?Mars?rover Sojourner landed in 1997, science fiction writer Arthur C. Clarke rephrased Armstrong's famous line and said the event was "one small step for the rover."

Three other rovers have followed including Curiosity, which landed Aug. 5 by executing an intricate routine that ended with it being lowered by cables to the surface. Curiosity's acrobatics proved so popular that some 1.1 million people now follow it on Twitter (the tweets are being written by the public affairs office at the NASA Jet Propulsion Laboratory, which manages the $2.5-billion mission.)

Curiosity chief scientist John Grotzinger said Monday the wheel prints on?Mars?may turn out to be an iconic image just like those first boot prints on the lunar surface.

"Instead of a human, it's a robot pretty much doing the same thing," he said.

Henry Lambright, a professor of public policy and space scholar at Syracuse University, said while Curiosity is inspiring, the world still needs to send humans beyond low-Earth orbit.

"It can't inspire to the degree that Apollo did because a robot can't inspire the way a man can," Lambright said.

On Monday, NASA played a recording from Administrator Charles Bolden that had been sent up to the rover on?Mars?and relayed back to Earth. In it, he thanked scientists and engineers for their achievement.

David Lavery of NASA headquarters said the hope is that someone will be inspired by Bolden's message and become the first human to stand on?Mars.

"Like the great Neil Armstrong, they'll be able to speak aloud ? the first person at that point, of the next giant leap in human exploration," he said.

The joint tenancy deed is one of the best tools to transfer real estate between spouses, partners and heirs. Its principal characteristic is known as the right of survivor.

Holding title in joint tenancy is especially suited for real estate held by a husband and a wife, a father and his sons, brothers, sisters or any combination of relatives, partners or friends.

Each co ? tenant in a joint tenancy, whether there be two, three or more such tenants is regarded by law as constituting a unity with each co ? tenant vested with title to an equal share of the entire property.

The joint tenancy deed was frequently used and was quite common in feudal England. Joint tenancy still plays a role in our current legal system and as with much of our current real estate law, this legal concept has been handed down to us from the English common law.

Early English law favored the creation of joint tenancy because of the right of survivor. The right of survivor preserved feudal property holdings until the death of the last survivor. Under early English common law any conveyance or transfer of real estate to two or more persons presumptively created a joint tenancy unless expressly declared otherwise.

Today in most states the common law presumption has been abrogated and by statute most states now require that joint tenancy be created by a writing that expressly declares an intention to create a joint tenancy.

As discussed herein above, when one tenant dies, the entire joint tenancy estate automatically belongs to the surviving tenant or tenants. On the tenant?s death, the survivor continues in the ownership of the entire property which passes by operation of law.

The beauty of this automatic passing of title, is that on death, the interest of the deceased joint tenant is not a part of his or her estate and does not pass to heirs. It passes automatically, by right of survivor, to the other joint tenant or tenants that appear on the deed. Furthermore, no will or trust executed by the deceased joint tenant can affect the joint tenancy. Thus a deceased joint tenant cannot dispose of it by will, and no probate is necessary to transfer the joint tenancy property.

In the situation where only one surviving joint tenant remains, ownership of the property becomes a part of the estate of the surviving joint tenant who can then transfer the property during his or her life time or upon their death however they choose.

The death of a joint tenant is established by recording an affidavit of death that describes the real property along with an attested or certified copy of the death certificate.

These recorded documents are evidence of the death of the deceased joint tenant and perfects title in the survivor without need for a costly court proceeding.

As you can see, the joint tenancy deed and the right of survivorthat goes along with it is a valuable tool in any estate plan because it accomplishes the transfer of property without the necessity of cumbersome, time consuming and costly court proceedings.

Law Professor Says One Of Romney's Tax-Avoidance Schemes ...

Legal experts continue to crawl through the massive cache of Mitt Romney's Bain fund documents that Gawker published on Thursday.

And one law professor, Victor Fleischer of the University of Colorado, believes he has found a tax-avoidance trick used by the funds that is illegal.

As expected, the Bain funds appear to have employed pretty much every sophisticated tax-dodging scheme in the book, including:

creating "blocker" corporations that allow the funds to avoid business taxes,
entering into credit-default swaps that allow the funds to avoid dividend taxes, and, of course,
taking advantage of the ludicrous "carried interest" tax loophole that allows private-equity and hedge-fund managers to treat their performance fees as capital gains instead of ordinary income and thus pay a tiny fraction of the taxes on them that normal professionals would pay

All of these tricks rely on legal technicalities and sophisticated techniques to avoid taxes.? For practical purposes, none of them are available to average taxpayers, because they require considerable sophistication and expense to set up and maintain. But they're common in the fund-management industry. And, for now, they are considered legal.

One of the tax-avoidance tricks that Romney's funds employ, however, is not legal, according to Fleischer.

This trick involves treating not just "performance-based fees" but management fees as capital gains rather than ordinary income.

Private-equity firms, like other fund management firms, generally charge two kinds of fees on each fund:

Performance-based fees, which pay the firm ~20% of any gains
Management fees, which assess an annual ~2% fee on all invested capital

Both of these fees are standard professional fees, so they both should be taxed at ordinary income rates.

In one of the most outrageous loopholes in the tax code, however, the fund-management industry has bamboozled (or simply bribed) Congress into treating "performance-based" fees as capital gains rather than income. So, unlike lawyers, doctors, architects, mechanics, and hundreds of other service professionals, fund managers get the privilege of having their fees accrue tax-free in their funds. And, if they structure the funds well enough, they can avoid ever having to pay ordinary income taxes on their fees. This is likely the primary means by which Mitt Romney has managed to pay such a low tax rate for so long.

But Bain went further than claiming the common "carried interest" treatment on its performance fees, says Fleischer.

In a much more controversial move, Bain also claimed capital gains treatment for its management fees. This allowed the funds (and Romney) to avoid paying ordinary income taxes on all of its fees, not just its performance fees.

How did Bain claim that its management fees were capital gains?

By "waiving" its management fees in some years in exchange for receiving a priority payment of "profit" in future years.

In other words, instead of taking a $20,000 cash payment for each $1 million under management in a particular year, Bain opted to take the $20,000 payment in a later year, as the first portion of any profit distributed from one of the fund's investments.

The theoretical basis for this tax treatment is presumably the same as the one used to justify the regular "carried interest" exemption, which is that by keeping its fees in the funds, the Bain partners are subjecting them to some risk: If the particular investment ends up losing money, the partners won't get paid.

For two reasons, though, this justification is weak.

First, for normal Americans, investment capital is eligible for capital-gains treatment only after it has been assessed with ordinary income taxes. A doctor who makes $1 million for rendering medical services would pay his ~35% tax rate, and then whatever he has left over would be available as investment capital. If the doctor put this capital at risk, he would then be entitled to capital-gains treatment. Thanks to the "carried interest" loophole, however, fund managers can put the whole $1 million of fees at risk simply by keeping it in their funds. Thus, they can let all of their fee-income compound tax free and never pay ordinary income taxes on it. Over decades, this generates vast wealth above and beyond what they would have earned if they had had to pay ordinary income taxes before they invested like everyone else.

Second, as Fleischer explains, Bain had extraordinary flexibility in choosing which investments to take its guaranteed share of "future profits" out of, in addition to when.

Basically, all Bain had to do to ensure that it would get its management fees was to choose one investment in each fund that would appreciate in value at some point in the future.? And given that Bain also had lots of control over the "carrying values" of these investments, it had superior knowledge of which investments would be the most likely to gain value. Thus, Fleischer argues, although there might have technically been some modest risk that Bain would never get paid its fees, this risk was extremely low.

Fleischer says this trick, treating management fees as capital gains, is "not legal." He also believes it would not stand up in court.

But this trick has also likely saved Bain and Mitt Romney millions of dollars in taxes over the years.
